ICYMI: Changes in Nonprofit Law

In addition to posting about governance commentary, we also want to share information about the nonprofit world and changes that affect our clients. Cue our “ICYMI” or “In Case You Missed It” posts. Our first post is about the changes in nonprofit law in the states of New York and Pennsylvania.

Pennsylvania and New York changed their nonprofit laws to include modern technology in meeting requirements.

Last year, the PA General Assembly passed new legislation permitting the use of electronic means for providing notice of meetings, granting proxies, maintaining corporate records, and acting by consent without a meeting (as long as the nonprofit’s by-laws do not dictate otherwise).

Last week, similar but more expansive changes to the NY Not-for-Profit Corporation Law became effective.
